Bolt Biotherapeutics is acquiring Prana Therapies in a sign-and-close reverse merger, shifting focus to Prana's Inspire multispecific antibody pipeline, with a concurrent $120M private placement to advance PRA-216 in multiple high-value inflammatory indications. Prana holders will own 51.7% of the combined company, backed by up to $180M in financing. Phase 2 PRA-216 readouts are expected starting Q2 2027.
