Subgen AI proposes EUR 40.5M transfer of three subsidiaries to Substrate AI

Subgen AI AB's board resolved to transfer its shares in three subsidiaries—Deltanova S.A., BINIT S.R.L., and Subgen AI Spain S.L.—to its subsidiary Substrate AI. The transaction, valued at approximately EUR 40.5 million, is settled through shares and convertible bonds, and would raise Subgen AI's stake in Substrate AI to about 48.9% of shares and 62.3% of votes, while cutting group intercompany debt by roughly EUR 25.3 million.
